Materiality Qualifier

a term or clause defining what cause or circumstance is material or significant enough to alter a contractual duty. They often relate to warranties and representations a seller make concerning the circumstances and financial health of a firm for sale. Parties can negotiate materiality clauses to eliminate materiality as a requirement for for both determining damages and breach or just one or the other.
