Efficient Breach Theory

contract theory that maintains that parties should be free to break contracts and pay damages if the outcome creates more economic value (efficiency) for one or more of the parties. Efficient Breach Theory is controversial for its tendency to undermine expectations of performance. Contract theorists urge that contractual remedies should not merely compensate parties who performed, but encourage parties to perform.
