occurs when one party makes a mistake (2nd Restatement §153). When a unilateral mistake as to a basic assumption on which the contract was formed has a material effect on the agreed exchange, the contract is voidable by the mistaken party if he does not bear the risk of the mistake. The mistaken party will be held responsible unless the other party knew or had reason to know that the mistake occurred.
